RECITAL
AP Helpmeet Inc. (SEC No. CS202004931), doing business as "HelpMeet", is a corporation duly organized and existing under the laws of the Republic of the Philippines, with principal office at Unit 1C, Abba 1 Bldg., 5756 Kalayaan Ave., Pinagkaisahan, Makati City, Philippines.
HelpMeet provides professional cleaning, maintenance, and property support services to residential, commercial, and short-term rental clients within the Philippines, delivered through its trained personnel and, where applicable, vetted third-party contractors.
Services may be booked through the website https://www.helpmeet.com.ph/ (the "Website") or through official HelpMeet communication channels, including but not limited to WhatsApp, Viber, SMS, phone calls, and social media platforms.
By accessing the Website or booking any Services, you agree to be bound by these Terms of Service. If you do not agree, you must refrain from using the Website or booking any Services.

1. SERVICE TERRITORY, GOVERNING LAW, AND JURISDICTION
All Services are performed exclusively within the Philippines.
These Terms shall be governed by Philippine law. The courts of Makati City shall have exclusive jurisdiction over all disputes.
HelpMeet does not actively market services outside the Philippines. Any use from outside the Philippines is at the user's own initiative for services performed within the Philippines.
2. DEFINITIONS
For purposes of these Terms:
"Booking" means a confirmed request for Services made through the Website or official HelpMeet communication channels.
"Services" refer to the cleaning, maintenance, and property support services offered by HelpMeet within the Philippines, including residential, commercial, and short-term rental services ("Core Services"), as well as certain additional support services ("Ancillary Services").
"Core Services" include standardized cleaning, air conditioning, laundry, and commercial property maintenance services delivered using defined processes and equipment.
"Ancillary Services" refer to supplementary services such as errands, home support, cooking, pet care, driver services, and similar activities that are performed based on customer instructions and may involve higher variability.
"HelpMeet" refers to AP Helpmeet Inc.
"Website" refers to https://www.helpmeet.com.ph/ and all associated service pages.
"Customer", "You", or "User" refers to any individual or entity booking or using the Services.
"Contractors" refer to third-party service providers who may be engaged through the HelpMeet platform to perform certain Services.
"Service Location" refers to the premises within the Philippines where the Services are performed.
"Service Scope" refers to the inclusions, exclusions, and limitations of each Service as described in these Terms and/or on the Website service pages, which form part of the agreement between HelpMeet and the Customer.
3. NATURE OF SERVICES AND PLATFORM
HelpMeet provides Services either:
(a) directly, through its employees; or
(b) by facilitating access to independent third-party service providers ("Contractors").
For Services performed by HelpMeet employees, HelpMeet acts as the direct service provider and is responsible for the delivery of such Services, subject to the limitations set forth in these Terms.
For Services performed by Contractors, HelpMeet acts as a platform that facilitates bookings between Customers and Contractors. In such cases, the service agreement is between the Customer and the Contractor.
While HelpMeet undertakes reasonable efforts to screen and vet Contractors (including background checks and basic verification), HelpMeet does not guarantee the completeness, accuracy, or ongoing validity of such checks.
To the extent permitted by law, HelpMeet shall not be liable for the acts, omissions, or performance of Contractors. However, HelpMeet may, at its discretion, assist in coordinating communication or resolution between Customers and Contractors.
Nothing in this section shall exclude or limit liability where such limitation is not permitted under applicable law.
4. USE OF WEBSITE AND ACCEPTABLE USE
You agree to use the Website and HelpMeet's platforms only for lawful purposes and in accordance with these Terms.
You must not:
- Use the Website in any way that may damage, disable, or impair its functionality
- Attempt to gain unauthorized access to any part of the Website, systems, or networks
- Use false information or impersonate another person or entity when making a Booking
- Engage in fraudulent, abusive, or harmful behavior toward HelpMeet, its personnel, or Contractors
HelpMeet reserves the right to suspend or terminate access to the Website or Services if it reasonably believes that a user has violated these Terms.
HelpMeet may modify, suspend, or discontinue any part of the Website at any time without prior notice.
5. BOOKINGS
5.1 Eligibility and Accuracy
By making a Booking, you confirm that:
- You are at least eighteen (18) years old
- You are legally capable of entering into a binding contract
- All information provided is true, accurate, and complete
HelpMeet reserves the right to cancel or refuse any Booking if information provided is inaccurate, incomplete, or misleading.
5.2 Booking Confirmation
All Bookings are subject to acceptance by HelpMeet. A contract is formed only upon confirmation through official HelpMeet communication channels.
HelpMeet reserves the right to decline or cancel any Booking prior to confirmation.
5.3 Booking Channel and Anti-Circumvention
Customers agree not to directly engage, solicit, or hire HelpMeet personnel for services outside of the HelpMeet platform, whether before, during, or after a Booking.
HelpMeet personnel are subject to contractual obligations, and any attempt to circumvent the platform undermines the integrity of our services.
In the event of a violation of this provision, HelpMeet reserves the right to:
- Cancel any active or future Bookings
- Suspend or terminate access to the Services
- Refuse future service
- Pursue any remedies available under applicable law
5.4 Service Extensions
Any request to extend the duration or scope of a Service must be coordinated through HelpMeet and may require a separate Booking or additional payment prior to continuation.
5.5 Access, Permits, and Site Readiness
The Customer is responsible for ensuring that the Service Location is accessible and ready for service at the scheduled time. This includes:
- Securing any required permits or approvals from building administration or property management
- Informing HelpMeet in advance of any access restrictions or special requirements
Failure to secure access or permits may result in:
- Delay or cancellation of the Booking
- No refund
- Additional charges
5.6 Customer Availability and Delays
The Customer must be present or ensure access to the Service Location at the scheduled time.
If the Customer is unresponsive, unavailable, or late for more than thirty (30) minutes:
- HelpMeet reserves the right to cancel or modify the Booking
- The Service may proceed with reduced time
- HelpMeet shall not be responsible for any reduction in service completeness or quality due to reduced service time.
5.7 Service Limitations Due to Customer Conditions
HelpMeet shall not be liable for delays, incomplete services, or performance issues caused by:
- Customer unavailability
- Inaccessible service areas
- Undisclosed site conditions or restrictions
- Failure to meet service requirements communicated prior to booking
6. CUSTOMER RESPONSIBILITIES
The Customer agrees to ensure that all conditions necessary for the proper delivery of Services are met.
6.1 Site Readiness and Access
The Customer must ensure that the Service Location is ready, accessible, and safe for the performance of Services. This includes:
- Providing timely access to the premises
- Securing all required permits, approvals, or clearances from building administration or property management
- Informing HelpMeet in advance of any restrictions, special requirements, or access limitations
6.2 Utilities and Working Conditions
The Customer must ensure that all necessary utilities and working conditions are available, including:
- Access to water and electricity
- Adequate lighting and ventilation
- A safe working environment free from hazards
HelpMeet reserves the right to refuse or discontinue Services if the working environment is deemed unsafe or unsuitable. In such cases, a partial refund may be issued at HelpMeet's discretion, after deducting any applicable mobilization or service costs incurred.
6.3 Materials, Equipment, and Instructions
HelpMeet provides the necessary tools and equipment required to perform the Services, subject to the type of service booked.
For general cleaning services, HelpMeet personnel bring professional tools and cleaning materials, except for certain personal or sanitary items such as toilet brushes and mops, which must be provided by the Customer.
For deep cleaning and specialized services, HelpMeet provides appropriate professional-grade equipment and cleaning tools.
The Customer remains responsible for ensuring that any required customer-provided items are available at the time of service.
The Customer must also provide clear and accurate instructions, particularly for Ancillary Services or tasks involving specific handling requirements.
6.4 Protection of Valuables and Property
The Customer is responsible for securing valuables, cash, fragile items, and any items of significant value prior to the start of the Service.
The Customer may request to visually inspect the personal bags of assigned personnel before and after the Service, provided such inspection is conducted respectfully and with the consent of the personnel.
HelpMeet shall not be liable for loss or damage to items that were not properly secured or disclosed prior to the Service.
6.5 Disclosure of Risks and Special Conditions
The Customer must disclose any known risks, special conditions, or relevant information that may affect the safe and proper delivery of Services, including but not limited to:
- Structural issues
- Faulty installations
- Hazardous materials or environments
- Behavioral risks such as pets or occupants
HelpMeet shall not be liable for any damage, delay, or incident arising from undisclosed conditions.
6.6 Compliance with Service Requirements
The Customer agrees to comply with all service-specific requirements communicated prior to or during the Booking. Failure to comply may result in incomplete Services, additional charges, or cancellation with applicable charges.
6.7 Operational Documentation
HelpMeet personnel may take photographs or videos of service areas before, during, or after the Service for purposes including quotation validation, service documentation, quality assurance, safety, training, and dispute resolution. Such documentation shall be handled in accordance with HelpMeet's Privacy Policy.
7. SERVICE LIMITATIONS AND DISCLAIMERS
HelpMeet provides Services using reasonable care, skill, and professional standards. However, the Customer acknowledges that results may vary depending on the condition of the Service Location, materials, equipment, and other factors beyond HelpMeet's control.
7.1 General Limitations
Unless expressly agreed otherwise, Services are provided on a maintenance basis and do not guarantee complete restoration, removal of all stains, or full resolution of underlying issues.
HelpMeet does not undertake:
- Heavy lifting, dismantling, or moving of large furniture or equipment
- Disassembly of appliances or systems unless explicitly included in the Service
- Work that involves structural modification or specialized licensed work beyond the agreed scope
7.2 Cleaning Services
Cleaning results may vary depending on the condition of the area, materials, and time since last cleaning.
Certain stains, discoloration, odors, or buildup may not be fully removable despite reasonable efforts.
7.3 Air Conditioning Services
Air conditioning services may include cleaning, maintenance, minor and major repairs, installation, reprocessing, and refrigerant top-up, depending on the Service booked.
Parts may be supplied by the Customer, sourced from manufacturers, or procured by HelpMeet upon Customer instruction. HelpMeet does not warrant the quality, compatibility, or performance of third-party or manufacturer-supplied parts.
HelpMeet is not responsible for:
- Pre-existing defects, leaks, drainage issues, or system deterioration
- Electrical or mechanical failures not directly caused by the Service
- Performance issues arising after service due to underlying system conditions
The Customer acknowledges that air conditioning units, particularly those that are older or heavily used, may be subject to wear and tear. Cleaning or servicing may expose or accelerate existing weaknesses.
HelpMeet shall not be liable for breakdowns, leaks, or component failures that occur due to age, normal wear and tear, or pre-existing conditions, even if such issues arise after the Service.
Any warranties provided are limited to the scope and duration communicated at the time of service.
7.4 Upholstery, Carpet, and Fabric Care
Some materials and fabrics may be sensitive to cleaning processes.
The Customer acknowledges the risk of possible color fading, shrinkage, or material weakening depending on fabric condition.
7.5 Laundry Services
HelpMeet does not guarantee complete stain removal or preservation of original condition.
HelpMeet shall not be liable for:
- Normal wear and tear from washing and drying
- Color bleeding or fabric damage, even when reasonable precautions are taken
- Damage to delicate or special-care items not disclosed in advance
7.6 Pest Control Services
Pest control effectiveness may vary depending on infestation severity, environmental conditions, and follow-through measures. Multiple treatments may be required.
7.7 Handyman, Maintenance, and Repair Services
Services are limited to minor to moderate repairs and maintenance, unless otherwise expressly agreed.
HelpMeet is not responsible for:
- Pre-existing damage, deterioration, or system defects
- Failures arising from aging components, wear and tear, or prior usage
- Issues resulting from customer-supplied materials or third-party work
- Problems arising from declined recommendations or incomplete repairs
The Customer acknowledges that repair or maintenance work may expose underlying issues not visible prior to the Service. HelpMeet shall not be liable for subsequent failures arising from such pre-existing or latent conditions.
7.8 Pressure Washing, Grease Trap, and Exhaust Cleaning
These services may involve inherent risks depending on the condition of surfaces and systems.
HelpMeet shall not be liable for:
- Surface damage, corrosion, or deterioration due to pre-existing conditions
- Issues arising from aging infrastructure or improper installation
7.9 Home Support and Ancillary Services
For Ancillary Services such as cooking, errands, pet care, and similar activities:
- Services are performed based on Customer instructions and provided materials
- Outcomes may vary depending on Customer-provided inputs and conditions
HelpMeet shall not be liable for:
- Food-related issues including allergies or contamination where ingredients are customer-provided
- Actions or outcomes involving third parties
- Incidents arising from incomplete or unclear instructions
7.10 Private Driver Services (When Available)
The Customer retains full responsibility for the condition, legality, and insurance coverage of the vehicle used.
HelpMeet shall not be liable for:
- Mechanical failures or pre-existing vehicle issues
- Violations arising from vehicle condition or documentation
7.11 Service Scope Reference
Detailed service inclusions, exclusions, and procedures may be described on the HelpMeet Website or related service pages. Such descriptions form part of the agreement between HelpMeet and the Customer.
7.12 Steam Disinfection Services
Steam disinfection services are intended to reduce surface contaminants using high-temperature equipment.
HelpMeet does not guarantee complete elimination of all bacteria, viruses, or pathogens. Effectiveness may vary depending on surface type, environmental conditions, and post-treatment exposure.
8. PRICING, PAYMENTS, CANCELLATION, AND REFUNDS
8.1 Pricing
The price of Services may be indicated on the Website or provided through official HelpMeet communication channels, including but not limited to email, social media, WhatsApp, or Viber.
All quotations provided by HelpMeet are subject to validation based on actual site conditions and service requirements. HelpMeet reserves the right to adjust pricing in cases of:
- Incomplete or inaccurate information provided by the Customer
- Changes in scope of work
- Site conditions that differ from those disclosed at the time of Booking
8.2 Payment Terms
Full payment is required prior to confirmation of the Booking, unless otherwise agreed in writing.
Payments may be made through:
- The HelpMeet Website via integrated third-party payment providers
- Payment links issued through HelpMeet's official channels
- Bank transfer or deposit to HelpMeet's designated corporate account
By proceeding with payment, the Customer agrees to the terms and conditions of the applicable payment provider.
HelpMeet shall not be liable for delays, errors, or security issues arising from third-party payment systems, except as required by law.
8.3 No Cash Policy
Cash payments are not accepted unless expressly authorized by HelpMeet.
HelpMeet personnel are not authorized to receive payments directly from Customers, except for approved service extensions coordinated through official channels.
8.4 Booking Confirmation and Non-Payment
A Booking is only confirmed upon receipt of full payment or as otherwise agreed.
HelpMeet reserves the right to cancel or decline any Booking that remains unpaid.
8.5 Cancellation Policy
Customers may cancel a confirmed Booking subject to the following terms:
- At least 48 hours before the scheduled service: Full refund
- 24 to 48 hours before the scheduled service: 75% refund
- 12 to 24 hours before the scheduled service: 50% refund
- Less than 12 hours before the scheduled service: No refund
8.6 Rescheduling Policy
Customers may request to reschedule a confirmed Booking subject to the following fees:
- At least 48 hours before the scheduled service: No additional fee
- 24 to 48 hours before the scheduled service: PHP 100 or 10% of the booking value, whichever is higher
- 12 to 24 hours before the scheduled service: PHP 200 or 20% of the booking value, whichever is higher
- Less than 12 hours before the scheduled service: PHP 400 or 30% of the booking value, whichever is higher
- Less than 6 hours before the scheduled service: Up to 50% of the booking value, depending on operational impact and at HelpMeet's discretion
Any applicable rescheduling fee must be settled before the new schedule is confirmed.
8.7 Company-Initiated Changes
HelpMeet reserves the right to reschedule or cancel a Booking due to operational, safety, or unforeseen circumstances.
In such cases, the Customer will be offered either:
- A rescheduled service at a mutually agreed time, or
- A full refund, provided the issue is not caused by the Customer
8.8 Refund Processing
Approved refunds will be processed through the original payment method or an alternative agreed channel (e.g., bank transfer, e-wallet).
Refunds are typically processed within 5 to 15 business days from receipt of complete refund details, subject to processing times of financial institutions or payment providers.
8.9 Promotions and Credits
Promotional offers, credits, vouchers, or referral benefits may be subject to specific terms, including usage limits, validity periods, and eligibility conditions.
HelpMeet reserves the right to modify or withdraw such promotions at any time without prior notice.
8.10 Service Time Utilization
Booked service durations are allocated exclusively for the scheduled Booking and are not transferable, refundable, or convertible into credits if unused.
Any unused service time shall be deemed forfeited once the assigned personnel have substantially completed the agreed Service Scope or where the Customer chooses to end the Service early.
Unused time may not be rolled over to future Bookings, claimed as service credits, or refunded in whole or in part.
The Customer retains discretion to fully utilize the booked service duration by assigning additional reasonable tasks within the agreed Service Scope, or to allow assigned personnel to leave earlier upon satisfactory completion of the requested Services.
9. CLAIMS, LIABILITY, AND DAMAGE HANDLING
9.1 Claims Process
Any claim for loss, damage, or injury must be reported to HelpMeet within twenty-four (24) hours for general cleaning and similar services, and within forty-eight (48) hours for services where defects may not be immediately apparent, such as air conditioning, pest control, and repair services.
All claims must be supported by reasonable evidence, including photographs, videos, receipts, or other relevant documentation.
HelpMeet reserves the right to inspect, investigate, and verify all claims prior to any resolution.
HelpMeet may retain records, photographs, videos, communications, inspection reports, invoices, and other documentation relating to the Service for quality assurance, legal, insurance, safety, training, operational, or dispute-resolution purposes.
9.2 General Conditions for Claims
Claims will only be considered where:
- The damage or loss is directly attributable to the actions of HelpMeet personnel during the Service
- The condition was not pre-existing or caused by normal wear and tear
- The Customer has complied with all relevant obligations under these Terms
HelpMeet reserves the right to deny claims that are unsupported, fraudulent, or inconsistent with the circumstances of the Service.
9.3 Property Damage and Loss
In the event of verified property damage or loss caused directly by HelpMeet personnel, HelpMeet reserves the right, in its sole discretion, to determine the appropriate remedy, which may include:
- Repair of the damaged item
- Replacement of the damaged item with a substantially similar item of comparable age, condition, and value
- Service re-performance or service credits
- Monetary compensation based on reasonable market value
HelpMeet shall have the exclusive right to determine the most appropriate remedy based on the nature of the claim, availability of repair or replacement options, cost considerations, and other relevant circumstances.
Any compensation, if approved, shall take into account:
- Depreciation
- Age and condition of the item
- Proof of ownership and value
- Fair market value immediately prior to the loss or damage
HelpMeet reserves the right to appoint its own service providers, repair facilities, suppliers, or contractors for repair or replacement prior to approving any third-party costs or estimates submitted by the Customer.
Any repair, replacement, compensation, service credit, goodwill payment, or other remedy provided by HelpMeet shall not constitute an admission of liability and shall remain subject to Section 10 (Limitation of Liability).
9.4 Theft and Loss of Property
Any claim of theft must be supported by sufficient evidence and reported within the required claims period.
HelpMeet reserves the right to conduct an internal investigation and may require involvement of appropriate authorities where necessary. HelpMeet reserves the right to require a police report or formal complaint for theft-related claims.
HelpMeet shall not be liable for theft or loss where:
- There is insufficient evidence
- Items were not properly secured
- Access to the premises was not restricted to authorized personnel
Any verified claim shall be subject to the limitations set forth in these Terms.
9.5 General Exclusions from Liability
HelpMeet shall not be liable for:
- Pre-existing damage or defects
- Normal wear and tear
- Damage arising from undisclosed conditions or risks
- Loss or damage to unsecured valuables
- Indirect or consequential losses, including loss of income, business, or opportunity
9.6 Service-Specific Limitations
Without limiting the generality of the foregoing, HelpMeet shall not be liable for issues arising from the nature of specific Services, including but not limited to:
- Cleaning Services: incomplete removal of stains, discoloration, or buildup
- Upholstery and Carpet: fabric sensitivity, fading, or material weakening
- Laundry Services: wear and tear, color bleeding, or damage to delicate items not disclosed in advance
- Air Conditioning Services: failures due to pre-existing conditions, aging components, or system defects
- Repair and Maintenance Services: failures arising from underlying system issues, aging components, or incomplete repairs
- Pest Control Services: recurrence of infestation or incomplete elimination
- Pressure Washing and Similar Services: surface damage due to pre-existing conditions
9.7 Third-Party and Ancillary Services
HelpMeet shall not be liable for the acts, omissions, or performance of Contractors, third-party providers, or external parties involved in the Service.
For Ancillary Services, HelpMeet shall not be liable for outcomes arising from Customer-provided instructions, materials, or third-party interactions.
9.8 Assistance and Resolution
HelpMeet may, at its discretion, assist in facilitating communication, inspection, or resolution of issues between the Customer and relevant parties.
Any such assistance does not constitute an admission of liability. Any service credit, refund, repair, replacement, discount, goodwill accommodation, or other commercial resolution offered by HelpMeet shall not constitute an admission of fault, negligence, liability, or legal responsibility.
10. LIMITATION OF LIABILITY
10.1 Liability Cap
To the fullest extent permitted by law, HelpMeet's total aggregate liability arising out of or in connection with any Service shall not exceed:
- PHP 100,000; or
- The total amount paid by the Customer for the specific Service giving rise to the claim, whichever is lower, except where HelpMeet voluntarily elects, in its sole discretion, to provide additional compensation as a goodwill or commercial accommodation. Any such payment shall not constitute an admission of liability and shall not create a precedent for future claims.
10.2 Commercial Clients
For commercial, corporate, or enterprise clients, a different liability cap or terms may be agreed upon in a separate written agreement. In such cases, the terms of that agreement shall prevail.
10.3 Exclusion of Indirect Damages
To the fullest extent permitted by law, HelpMeet shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to:
- Loss of income or revenue
- Loss of business or contracts
- Loss of profits
- Loss of anticipated savings
- Business interruption
10.4 Relationship with Claims and Remedies
All claims, compensation, and remedies provided under these Terms, including repair, replacement, service re-performance, service credits, or monetary compensation, are subject to the limitations set forth in this Section.
10.5 Insurance and Limitation of Liability
HelpMeet may maintain insurance coverage for certain operational risks. Any such insurance is maintained solely for HelpMeet's protection and risk management purposes. The existence, amount, scope, or availability of insurance shall not expand, modify, waive, or override any limitation, exclusion, disclaimer, condition, or liability cap set forth in these Terms.
10.6 Insurance Recovery and Third-Party Claims
The existence of insurance coverage maintained by HelpMeet does not create any independent right of recovery in favor of any Customer, claimant, or third party.
Any claim, compensation, settlement, repair, replacement, service credit, refund, monetary payment, or other remedy shall remain subject to the limitations, exclusions, conditions, procedures, and liability caps set forth in these Terms, regardless of the amount, scope, or availability of insurance coverage.
No person shall be entitled to recover from HelpMeet, nor shall HelpMeet's liability be increased, solely because insurance coverage exists or may be available.
10.7 Certificate of Insurance
Proof of insurance or a certificate of coverage may be provided upon reasonable request, subject to availability, confidentiality obligations, insurer restrictions, and HelpMeet's internal policies.
10.8 Single Claim per Booking
For purposes of liability calculation, all Services performed under a single Booking or service engagement, including any related claims arising from the same facts, circumstances, occurrence, or series of related events, shall be treated as a single claim.
11. FORCE MAJEURE
HelpMeet shall not be liable for any failure to perform, or delay in performing, its obligations where such failure or delay is caused by events beyond its reasonable control ("Force Majeure Event").
Force Majeure Events may include, but are not limited to:
- Natural disasters such as typhoons, floods, earthquakes, or fires
- Acts of God
- War, civil unrest, or government actions
- Strikes, labor disputes, or shortages of labor or materials
- Public health emergencies, epidemics, or pandemics
- Utility outages, transportation disruptions, or infrastructure failures
- Any other events beyond HelpMeet's reasonable control
In the event of a Force Majeure Event, HelpMeet's obligations shall be suspended for the duration of the event. HelpMeet may, at its discretion:
- Reschedule the Service to a mutually agreed date; or
- Cancel the Booking and provide an appropriate refund, if applicable, taking into account any costs already incurred
HelpMeet will use reasonable efforts to minimize disruption and resume Services as soon as practicable.
12. GENERAL PROVISIONS
12.1 Intellectual Property
All content on the Website, including text, graphics, logos, and other materials, is owned by or licensed to HelpMeet and is protected by applicable intellectual property laws.
You may access and use the Website for personal, non-commercial purposes only. Any reproduction, distribution, or commercial use of Website content without prior written consent is prohibited.

12.5 Assignment
